On 11 October 2021, the Real Property Amendment (Certificates of Title) Act 2021 commenced, which abolished the Certificates of Title (CTs) and the control of the right to deal (CoRD) framework. All existing CTs have been cancelled and CTs will no longer be issued. Existing CTs will not need to be produced, and CoRD holder consent will not be required, for a dealing or plan to be registered. Memorandum

ADIS Code - The code used depends on the type of document affected by the memorandum.  Where the memorandum affects documents registered in:

  • the General Register, use MEMO
  • the Bills of a Sale Register, use BSG
  • the Crop Liens Register, use CLG
  • the Wool Liens Register, use WLG
  • the Stock Mortgages Register, use SMG.

A memorandum may contain provisions, eg covenants and conditions, that relate to any type of document registered in NSW LRS.

The pages containing the provisions and the clauses therein must be numbered consecutively.  Any blank pages or spaces must be ruled through and initialed by the party signing the certificate on behalf of the applicant.

The first and last pages containing the provisions must be signed by the party signing the certificate on behalf of the applicant.

Certificate

A certificate is required in the following form or in words to that effect:

"I [name and capacity] on behalf of [name of the applicant, ie the bank, company etc] certify that this memorandum, comprised of ... pages, contains the provisions which are deemed to be incorporated in such [type of document(s)] as are referred to in this memorandum".

The certificate must be signed and dated.  Witnessing is not required.

Lodgment requirements

Stamp duty - Not required.

Registration copy - Required.  Either the original memorandum or a registration copy may be lodged.  If the registration copy is unacceptable, Registration insisted upon is prohibited.

Statement Of Title Particulars form - Not required.

NOS form - Not required.

Date:  must be dated with the date of execution.  If not dated advise the lodging party.  If a date is not furnished, indicate Registration insisted upon and include the reason.

Name:  the full names (initials are acceptable) of the applicant and the party signing on behalf of the applicant are required.  Advise the lodging party of any discrepancies in names. 

Provisions:  the pages containing the provisions and the clauses therein must be numbered consecutively.  Any blank pages or spaces must be ruled through and initialed by the party signing the certificate.  The first and last pages of the provisions must be signed by the party signing the certificate.

Execution:  by the party signing on behalf of the applicant.  A power of attorney must be registered if affecting land.

Attestation:  not required.

IPF:  must be completed.
